Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and GoodSign Limited, a company incorporated under New Zealand law, operating RideCards ("Company," "we," "us," or "our"). These Terms govern your access to and use of RideCards, including our website at https://ridecards.app, the RideCards application for Hammerhead Karoo cycling computers, and all associated services (collectively, the "Service").
BY ACCESSING OR USING OUR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICE.
1. Acceptance and Modifications
1.1 Agreement Formation
Your use of the Service constitutes acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.
1.2 Amendments
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after modifications constitutes acceptance of the revised Terms.
1.3 Eligibility
You must be at least 18 years of age and possess the legal authority to enter into this agreement. By using the Service, you represent and warrant that you meet these requirements.
2. Service Description
2.1 Overview
RideCards lets you create "ride cards" — images and text pages — on the web and display them as full-screen ride pages on paired Hammerhead Karoo cycling computers via the RideCards application.
2.2 Safety
You are responsible for riding safely. Interact with cards only when it is safe to do so. Do not read or operate your device in circumstances where doing so puts you or others at risk. Cards are informational aids only; you remain solely responsible for navigation, pacing, nutrition, and all riding decisions.
2.3 Service Availability
While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues. Cards previously downloaded to a device remain available on that device even when the Service is unreachable.
2.4 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
2.5 Third-Party Hardware
RideCards is an independent product and is not affiliated with, endorsed by, or sponsored by Hammerhead or SRAM. Karoo is a trademark of its respective owner. The RideCards application is installed on your device at your own discretion.
3. User Accounts and Responsibilities
3.1 Account Registration
To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You must notify us immediately of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your failure to maintain account security. Note that anyone with physical access to a paired Karoo can view the cards on it; unpair devices you no longer control.
3.3 User Conduct
You agree to use the Service in compliance with all applicable laws and regulations. You shall not engage in any activity that could harm, disable, or impair the Service or interfere with other users' access.
4. Prohibited Uses
You expressly agree not to:
- Violate any applicable local, state, national, or international law or regulation
- Upload content that infringes upon intellectual property rights or that is unlawful
- Transmit or upload malicious software, viruses, or harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts or devices
- Attempt to guess or enumerate device pairing codes
- Use the Service to harass, threaten, or harm others
- Engage in any form of automated data extraction or abuse of the Service's endpoints
- Impersonate any person or entity or misrepresent your affiliation
- Circumvent any security measures, plan limits, or access controls
5. Intellectual Property Rights
5.1 Company IP
All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, and trademarks, are owned by GoodSign Limited and protected by copyright, trademark, and other intellectual property laws.
5.2 User Content
You retain ownership of the cards, images, and text you upload to the Service. By using the Service, you grant us a limited, non-exclusive license to process, store, transform (for example, cropping and re-encoding images), and transmit your content solely for the purpose of providing the Service.
5.3 Restrictions
You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written permission.
6. Privacy and Data Protection
6.1 Privacy Policy
Our collection, use, and protection of personal information is governed by our Privacy Policy.
6.2 Data Processing
By using the Service, you consent to our collection and processing of personal data in accordance with our Privacy Policy and applicable data protection laws.
7. Plans, Payment, and Billing
7.1 Free Plan and Pro Subscription
The free plan includes one card slot and syncs one Karoo. RideCards Pro is an annual subscription (currently US$10 per year) that unlocks all six card slots and syncs every Karoo paired to your account. Charges will appear on your statement referencing RideCards or GoodSign Limited.
7.2 Renewal and Cancellation
Pro subscriptions renew automatically each year until cancelled. You can cancel anytime via Manage Subscription; cancellation takes effect at the end of the current billing period. After Pro lapses, cards already on your devices continue to be served, but editing reverts to free-plan limits.
7.3 Payment Processing
Payments are processed by Stripe, our third-party payment processor. You agree to provide accurate billing information and authorize us to charge applicable fees.
7.4 Refund Policy
Refunds are provided at our discretion. If you are unsatisfied with the Service, contact us within 14 days of your initial payment for a full refund.
8. Limitation of Liability
8.1 Service Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 Liability Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSIGN LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, OR ANY INJURY OR LOSS ARISING FROM RIDING ACTIVITIES.
8.3 Damages Cap
Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the Service during the twelve (12) months immediately preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless GoodSign Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.
10. Termination
10.1 Termination by User
You may terminate your account at any time by contacting us at support@ridecards.app.
10.2 Termination by Company
We may suspend or terminate your access to the Service immediately, without notice, for violation of these Terms or for any other reason at our discretion.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account and data, subject to our data retention policies and legal obligations.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.
11.2 Jurisdiction
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
11.3 Alternative Dispute Resolution
Before pursuing formal legal action, parties agree to attempt resolution through good faith negotiations for a period of thirty (30) days.
12. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
13. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and GoodSign Limited regarding the Service.
15. Additional Provisions
15.1 Assignment
We may assign our rights and obligations under these Terms without your consent. You may not assign your rights without our written consent.
15.2 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.3 Electronic Communications
You consent to receive communications from us electronically, and such communications satisfy any legal requirement for written notice.
